Sole proprietor meaning in South Africa (sole trader)

What a sole proprietor (sole trader) is in South Africa: definition, examples, tax, liability, and whether you need to register with CIPC or SARS.

Quick answer

A sole proprietor (also called a sole trader or sole proprietorship) is one person running a business in their own name. In South Africa there's no CIPC registration. You and the business are the same person for tax and the law, so you declare the business income on your own ITR12 and you're personally liable for its debts.

  • A plumber trading as 'Sipho Dlamini t/a Quick Fix Plumbing'
  • A tutor, photographer or bookkeeper working for themselves
  • A side hustle selling online alongside a salaried job

Characteristics

  • Owned and run by one person
  • Cheap and quick to start: no registration fees
  • Profit is taxed at personal income tax rates
  • Unlimited personal liability
  • The business ends when the owner stops

How to register as a sole proprietor in South Africa

  • You don't register the business with CIPC
  • Make sure you have a SARS income tax number and register for provisional tax
  • Register for VAT only if you cross the threshold or choose to voluntarily
  • Register for UIF and PAYE only if you employ people
  • Open a separate bank account (some banks offer sole-proprietor accounts)
