Mutual non-disclosure agreement
Between Thandi Mokoena Design and Acme (Pty) Ltd.
- Confidential information. Any business, technical, financial or personal information disclosed by either party, in any form, that is marked confidential or would reasonably be understood to be confidential.
- Obligations. Each party will use the other's confidential information only for discussing a website redesign project, will not disclose it to third parties and will protect it with at least reasonable care.
- Exclusions. Information that is public, already known to the receiving party, independently developed, or required to be disclosed by law or a court order.
- Personal information (POPIA). Any personal information shared will be processed only for the purpose above, kept secure, and not transferred outside South Africa without adequate protection, in line with the Protection of Personal Information Act 4 of 2013.
- Duration. These obligations last for 2 years from the date of signature.
- Return of information. On request, each party will return or destroy the other's confidential information.
- Governing law. This agreement is governed by the laws of the Republic of South Africa.

Questions
- Are NDAs enforceable in South Africa?
- Yes, reasonable confidentiality agreements are generally enforceable under South African contract law. For high-value deals, ask an attorney to review.
- Why include a POPIA clause?
- If personal information is shared, POPIA requires it to be processed lawfully and kept secure. The clause records both parties' commitment.
